1. Introduction

Welcome to Writesimpli ("Company", "we", "our", "us")!

These Terms of Service ("Terms") govern your access to and use of our website located at writesimpli.com (the "Platform"), along with any related applications, services, and features provided by Writesimpli.

By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the Terms, you may not access the Platform. We recommend that you print a copy of these Terms for future reference.

These Terms constitute a legally binding agreement between you and Writesimpli. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Definitions

For the purposes of these Terms:

• "Platform" refers to Writesimpli's website, applications, services, and features.
• "User" refers to an individual who has registered for an account on the Platform.
• "Content" refers to any text, graphics, images, audio, video, software, data, code, or other materials that users may view on, access through, or contribute to the Platform.
• "User Content" refers to any Content a User posts, uploads, publishes, submits, or transmits on the Platform.
• "Writesimpli Content" refers to Content that we create, acquire, or license and make available through the Platform.
• "Subscription" refers to the paid services offered by Writesimpli that provide additional features and capabilities on the Platform.
• "AI Tools" refers to the artificial intelligence-powered writing assistance tools and services provided by Writesimpli.

3. User Accounts and Registration

To access certain features of the Platform, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and to keep this information up to date.

Account Requirements:

• You must be at least 16 years old to use the Platform.
• You may not create more than one account per person unless explicitly permitted by Writesimpli.
• You may not transfer your account to anyone else without our prior written permission.

Account Security:

• You are responsible for safeguarding your account credentials.
• You agree to notify us immediately of any unauthorized access to or use of your account.
• You are responsible for all activities that occur under your account, whether or not you authorized them.

We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, not current, or incomplete.

4. Subscription Plans and Payments

Writesimpli offers various subscription plans, including a free plan with limited features and several paid plans with enhanced capabilities. Details of current subscription plans are available on our Pricing page.

Subscription Terms:

• Subscriptions are billed in advance on a monthly or annual basis, depending on the subscription type selected.
• Unless you cancel your subscription before the end of the current billing period, it will automatically renew for another period, and you authorize us to charge your payment method.
• You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of the current billing period.

Refund Policy:

We want you to be completely satisfied with your Writesimpli subscription. If you are not satisfied with your subscription for any reason, you may request a full refund within 7 days of your initial purchase (your "Satisfaction Guarantee Period"). To request a refund, please contact our support team at support@writesimpli.com with your account details and reason for the refund request. Refunds will be processed to your original payment method within 5-10 business days.

After the 7-day Satisfaction Guarantee Period, subscription fees are generally non-refundable, except as required by law. However, we may consider partial refunds for unused subscription time in exceptional circumstances at our sole discretion.

Free Trials:

We may offer free trials of our paid subscription plans. At the end of the free trial, you will be automatically charged for the subscription unless you cancel before the trial ends.

Changes to Pricing:

We reserve the right to change our subscription fees at any time. If we change the fees for your subscription, we will provide notice through the Platform or by email at least 30 days before the change takes effect. If you do not agree to the fee change, you may cancel your subscription before the change takes effect.

5. User Content

Our Platform allows you to create, post, share, and store content such as text, articles, blog posts, comments, and other materials ("User Content"). You retain ownership of your User Content, but you grant us certain rights to use it.

Content License:

By posting User Content on or through the Platform, you grant Writesimpli a worldwide, non-exclusive, royalty-free, fully paid, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User Content in any media formats and through any media channels for the purposes of:

• Operating, maintaining, and improving the Platform;
• Displaying your public User Content to other users as directed by you;
• Training and improving our AI systems, if you have consented to this use;
• Analyzing usage patterns and trends on the Platform.

Content Responsibility:

You are solely responsible for your User Content and the consequences of posting or publishing it. By posting User Content, you represent and warrant that:

• You own or have obtained all necessary rights, licenses, and permissions to use and authorize us to use your User Content;
• Your User Content does not infringe or violate the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party;
• Your User Content does not contain any defamatory, libelous, offensive, obscene, or otherwise unlawful material;
• Your User Content does not violate these Terms or any applicable law or regulation.

Affiliate Links and Monetization:

Writesimpli allows you to include affiliate links in your content that may generate commissions or other forms of compensation for you. When including such links, you agree to:

• Clearly and conspicuously disclose to readers that your content contains affiliate links or sponsored content (e.g., "This post contains affiliate links" or "Some links in this article are affiliate links, which means I may earn a commission if you make a purchase");
• Comply with all applicable laws and regulations regarding endorsements, testimonials, and disclosure of commercial relationships, including the Federal Trade Commission (FTC) guidelines in the United States or equivalent regulations in your jurisdiction;
• Only promote products or services that you genuinely believe in and that are relevant to your content;
• Ensure that your reviews and recommendations are honest, accurate, and based on your actual experience or research;
• Not make false or misleading claims about any products or services you promote;
• Take responsibility for ensuring that any affiliate programs or sponsored content you participate in comply with these Terms.

Writesimpli does not endorse or take responsibility for any products or services promoted by users through affiliate links. Users are solely responsible for the affiliate content they create and any resulting commercial relationships.

Content Moderation:

We do not pre-screen User Content but reserve the right to monitor, edit, or remove any User Content that violates these Terms or that we find objectionable for any reason, without prior notice. We have no obligation to retain or provide you with copies of your User Content, nor do we guarantee any confidentiality with respect to User Content that you designate as public.

6. AI-Powered Writing Tools

Writesimpli provides AI-powered writing tools to assist users with content creation. By using these tools, you acknowledge and agree to the following:

• AI-generated content may not be perfect and should be reviewed and edited by you before publication.
• You are responsible for ensuring that any content you create using our AI tools, even if assisted by AI, complies with applicable laws and does not infringe on third-party rights.
• Different subscription plans have different limits on AI usage. You agree to abide by the limits of your chosen plan.
• We do not guarantee the accuracy, quality, or appropriateness of AI-generated content for any particular purpose.
• Content generated by our AI tools may be used to improve our AI systems unless you opt out of this in your account settings.

Writesimpli does not claim ownership of content generated using our AI tools. However, you grant us the same license to such content as described in the User Content section above.

7. Prohibited Conduct

You agree not to use the Platform to:

• Violate any applicable law, regulation, or these Terms;
• Infringe on the intellectual property rights, privacy rights, or other legal rights of any person;
• Create, post, share, or store content that is defamatory, obscene, pornographic, abusive, offensive, or otherwise objectionable;
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
• Interfere with or disrupt the Platform or servers or networks connected to the Platform;
• Transmit any material that contains software viruses, worms, trojan horses, or any other harmful computer code;
• Conduct any systematic or automated data collection activities on or in relation to the Platform;
• Use the Platform for any commercial solicitation purposes without our prior written consent;
• Attempt to gain unauthorized access to the Platform, other user accounts, or computer systems or networks connected to the Platform;
• Use the Platform for generating content that is deliberately misleading, false, or intended to manipulate public opinion in a deceptive manner (e.g., deepfakes, misinformation campaigns).

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including without limitation, removing the offending content from the Platform, suspending or terminating the account of such violators, and reporting them to the appropriate authorities.

8. Intellectual Property Rights

Writesimpli Content:

The Platform and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Writesimpli and its licensors. The Platform is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Limited License to Use Platform:

Subject to these Terms, Writesimpli grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for your personal, non-commercial use. This license does not include any resale or commercial use of the Platform, its content, or any derivative use of the Platform or its contents.

User Content:

You retain all of your ownership rights in your User Content, subject to the licenses granted to us in these Terms.

Feedback:

If you provide us with any feedback or suggestions regarding the Platform ("Feedback"), you hereby assign to us all rights in such Feedback and agree that we shall have the right to use and fully exploit such Feedback in any manner we deem appropriate. We will treat any Feedback you provide to us as non-confidential and non-proprietary.

9. DMCA Notice and Takedown Policy

We respect the intellectual property rights of others and expect users of the Platform to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us.

If you believe that your content has been copied in a way that constitutes copyright infringement, please provide us with the following information:

1. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
2. Identification of the copyrighted work claimed to have been infringed;
3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
4. Your contact information, including your address, telephone number, and email address;
5. A statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
6. A statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

We reserve the right to remove content alleged to be infringing without prior notice, at our sole discretion, and without liability to you. In appropriate circumstances, we will also terminate a user's account if the user is determined to be a repeat infringer.

10. Third-Party Services

The Platform may contain links to third-party websites or services that are not owned or controlled by Writesimpli. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

You acknowledge and agree that Writesimpli shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WRITESIMPLI, ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS DO NOT WARRANT THAT: (A) THE PLATFORM WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE PLATFORM WILL MEET YOUR REQUIREMENTS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WRITESIMPLI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (C) ANY CONTENT OBTAINED FROM THE PLATFORM; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE PLATFORM EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO WRITESIMPLI DURING THE TWELVE (12) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING, OR (B) $100 USD.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless Writesimpli, its parent company, subsidiaries, affiliates, and their respective directors, officers, employees, contractors, agents, service providers, suppliers, licensors, and representatives, from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:

• Your violation of these Terms;
• Your User Content;
• Your use of the Platform;
• Your violation of any rights of another person or entity.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

14. Termination

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.

If you wish to terminate your account, you may simply discontinue using the Platform, or contact us at support@writesimpli.com.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Upon termination, your right to use the Platform will immediately cease. If you wish to delete your account and have your personal information deleted, please contact us at privacy@writesimpli.com and follow the necessary steps to delete your account.

15. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Dispute Resolution:

In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms or the breach thereof, the parties shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties.

If the parties do not reach such solution within a period of 60 days, then, upon notice by either party to the other, all disputes, claims, questions, or disagreements shall be finally settled by arbitration administered by the American Arbitration Association in accordance with the provisions of its Commercial Arbitration Rules.

16. GDPR Compliance

For users in the European Union (EU), we comply with the General Data Protection Regulation (GDPR). Our legal basis for collecting and using your personal information depends on the specific information concerned and the context in which we collect it.

As a data subject in the EU, you have the following rights:

17. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Platform and should cease using it immediately.
